These Terms and Conditions (“Terms”) are issued by HUNZAI VESTURE, a custom manufacturer and exporter of apparel and accessories.The Company specializes in the design, production, and export of sportswear, casual wear, streetwear, jackets, and accessories such as fabric wristbands, caps, and scarves for international clients.HUNZAI VESTURE provides 100% custom manufacturing services, offering complete flexibility in logos, fabrics, designs, sizing, colors, models, and styles according to each client's specifications.These Terms govern all orders, quotations, sales, and transactions between HUNZAI VESTURE (“the Company”) and its clients (“the Buyer”).By placing an order or entering into any agreement with the Company, the Buyer acknowledges and accepts these Terms in full.

Products and Custom Orders:

All garments and accessories produced by HUNZAI VESTURE are made-to-order according to the Buyer's confirmed specifications, including fabric, color, logo placement, design, sizing, and style. The Company does not maintain ready-made stock; every order is custom manufactured exclusively for the Buyer.The Company offers a custom sample service before bulk production.A flat sample cost of 100 USD applies, which covers any type of product requested by the Buyer - whether it is a t-shirt, hoodie, jacket, tracksuit, or any other apparel or accessory.

This amount also includes worldwide shipping to any country or city across the globe.Before commencing bulk manufacturing, HUNZAI VESTURE will contact the Buyer to obtain complete approvals for all necessary details, including but not limited to:

• Design approval
• Sizing approval
• Fabric or material approval
• Color and pattern approval
• Sublimation or embroidery design approval ·Logo and branding approval

Production will begin only after receiving 100% confirmation and approval from the Buyer on all relevant aspects of the order.HUNZAI VESTURE will not be held responsible for any errors resulting from incorrect information, incomplete details, or final approvals provided by the Buyer. However, if any mistake occurs due to an error on the part of HUNZAI VESTURE, the Company will be fully responsible and shall bear all associated losses or corrective costs.

Once final approval is given, no further modifications or cancellations will be accepted after production begins.

Sample Cost Adjustment:

If the Buyer proceeds with bulk production after sample approval, the sample cost may be adjusted or partially credited against the total order value (subject to mutual agreement between the Buyer and  HUNZAI VESTURE).

Pricing and Payments:

HUNZAI VESTURE provides pricing in multiple currencies based on the Buyer's region and agreement terms. Prices may be quoted in United States Dollars (USD), British Pounds (GBP), or Euros (EUR) as mutually agreed between the Company and the Buyer. Payments can be made through the following accepted methods:

• Bank Transfer
• Western Union
• MoneyGram

The Company generally requires 100% advance payment before production for most orders. However, in certain cases, payment terms may vary, such as:

• 50% advance deposit and 50% before dispatch,
• 70% advance deposit and 30% before dispatch
• 30% advance deposite and 70% before despatch

The specific payment structure will be finalized and agreed upon during the order confirmation process between the Company and the Buyer. Production will not begin until the initial advance payment is

received in full.

HUNZAI VESTURE operates under three international trade terms, depending on the Buyer's preference:

1.F OB (Free on Board):

Includes only the cost of products and the Company's manufacturing charges. The Buyer will arrange the courier or shipping company and bear all other charges, including freight, insurance, and destination duties.

If the Buyer prefers, they may collect the goods directly from the Company's warehouse, or request local transportation anywhere in Pakistan, which can be arranged by the Company at minimal additional cost.

2.C&F (Cost and Freight):

Includes the cost of products, shipping, and export duties/customs on the Company's side.

The Buyer is responsible for import duties and charges at the destination port.

3.CIF (Cost, Insurance, and Freight):

Includes the cost of products, insurance coverage, shipping, and export duties/customs on the Company's side.

The Buyer will handle import duties and clearance at the destination.

The applicable pricing, responsibilities, and cost coverage will depend on the trade term selected (FOB, C&F, or CIF), and the respective terms and conditions shall apply accordingly.

Letter of Credit (L/C) Terms:

To ensure smooth and secure international transactions, HUNZAI VESTURE accepts a range of Letters of Credit (L/C) options designed to meet both the Buyer’s and the Company’s needs.

All L/Cs must be issued by a reputable bank and established in favor of HUNZAI VESTURE.

Unless otherwise agreed, all banking charges related to the issuance, confirmation, or amendment of the L/C shall be borne by the Buyer.

These L/C options provide flexibility, transparency, and mutual assurance - allowing both parties to choose the most suitable arrangement for their business transaction.

Types of Letters of Credit Accepted

Irrevocable Letter of Credit (L/C)

Once issued, this L/C cannot be cancelled or changed without the consent of all involved parties. Ensures payment protection and reliability for both the Buyer and the Seller.

Confirmed Letter of Credit (L/C)

A second (confirming) bank guarantees payment alongside the Buyer’s bank. Provides an extra layer of confidence for international transactions

Red Clause Letter of Credit (L/C)

Allows advance payment to the Seller before shipment. Helps support production and raw material costs while maintaining delivery time lines.

Green Clause Letter of Credit (L/C)

Includes provisions for advance payment plus storage or insurance costs. Ideal for large-volume or staged shipments.

Transferable Letter of Credit (L/C)

The original beneficiary (Seller) may transfer part or all of the credit to another supplier. Offers flexibility in cases involving subcontractors or manufacturing partners.

Revolving Letter of Credit (L/C)

Automatically renews for multiple shipments or continuous orders. Streamlines recurring transactions and supports long-term partnerships.

Standby Letter of Credit (SBLC)

Serves as a financial guarantee in case the Buyer fails to meet payment obligations. Acts as a safeguard without affecting regular payment terms. Restricted Negotiable Letter of Credit (L/C)

Can be negotiated only through the bank specifically mentioned in the credit. Ensures payment security through pre-approved banking channels. Cash Against Advance Letter of Credit (L/C)

Payment is made immediately upon presentation of required shipping documents. Ensures prompt payment and faster clearance of goods.

Deferred Payment Letter of Credit (L/C)

Payment is made after a mutually agreed period following shipment or delivery. Supports buyers with flexible payment timing while maintaining payment assurance for the seller.

Production Time & Delivery:

The standard production time for all orders is approximately 3–4 weeks, depending on the quantity and complexity of the goods. The final production time will be confirmed once the order is finalized.

Production time officially begins after advance payment, design confirmation, or sample approval has been received.

Orders are delivered by air, by sea, or through international courier services such as DHL, FedEx, or UPS, as agreed between the Company and the Buyer.

The responsibility for shipping, insurance, and customs duties will depend on the selected trade term FOB, C&F, or CIF - and the respective terms and conditions will apply accordingly.

All delivery times provided by HUNZAI VESTURE are estimates and may vary only due to factors beyond  the Company's control, such as customs procedures, transportation delays, or unforeseen international events.

Shipping, Risk & Ownership:

Once the goods have been fully paid for and are handed over to the designated shipping company or courier, ownership and responsibility for the products are officially transferred from HUNZAI VESTURE to the Buyer.

From that point onward, all risks  associated with loss, delay, or damage during transit shall be the Buyer's responsibility, unless the shipment is covered under CIF (Cost, Insurance, and Freight) terms, in which case the goods are insured by the Company until delivery at the Buyer's destination.

Under FOB and C&F terms, the Company's responsibility ends once the goods are shipped or delivered to the carrier.

HUNZAI VESTURE shall not be held liable for any shipping  delays, damages, or losses that occur after dispatch, except in cases where the Company has explicitly agreed in writing to provide shipping insurance or assume such liability.

Quality & Inspection:

HUNZAI VESTURE maintains a strict quality control process throughout every stage of production  from material sourcing and stitching to printing, embroidery, and final finishing. Each product is carefully inspected before shipment to ensure it meets the Buyer's approved specifications for fabric, color,

design, size, and logo.

Upon receiving the goods, the Buyer is required to inspect all products within seven (7) days of delivery to verify that they are in proper condition and match the approved order details. Any claims regarding defective or incorrect items must be reported to the Company within this period, along with supporting

evidence such as photographs or videos.

If an issue is verified to be a manufacturing fault on the part of HUNZAI VESTURE, the Company will, at its discretion, replace the defective products or offer a refund for the affected items.

However, the Company shall not be responsible for any defects, damage, or discrepancies resulting from shipping, handling, storage, or misuse by the Buyer or third parties after delivery.

Returns, Refunds & Cancellations:

All products manufactured by HUNZAI VESTURE are custom-made according to the Buyer's approved specifications. Therefore, once production has started, all orders become non-refundable and non-cancellable.

If the Buyer wishes to cancel an order before production begins, such cancellation must be requested in writing and may be subject to a cancellation fee. The fee amount will depend on the stage of pre-production work already completed, including design preparation, sampling, and administrative costs.

In the event that the Buyer receives incorrect or defective products resulting from a manufacturing fault on the part of HUNZAI VESTURE, the Company will either:

• Replace the affected products, or
• Provide a refund or compensation for the specific items in question, as agreed upon with the Buyer.

The Company shall not be responsible for any damages, losses, or defects occurring after the goods have been dispatched, including issues arising during shipping, handling, or storage, unless covered under CIF terms with insurance provided by the Company.

Confidentiality:

Both HUNZAI VESTURE and the Buyer agree to maintain strict confidentiality regarding all business-related information, including but not limited to designs, logos, patterns, samples, pricing details, and trade secrets.

Neither party shall disclose, reproduce, or share any such confidential information with third parties without prior written consent from the other party, except where disclosure is required by law.

All custom designs, branding elements, and intellectual property provided by the Buyer remain the exclusive property of the Buyer, and will not be used by HUNZAI VESTURE for any other client or purpose. Likewise, all proprietary manufacturing methods, templates, and internal documentation of the Company remain the property of HUNZAI VESTURE.

Intellectual Property:

All logos, designs, artworks, and brand materials provided by the Buyer remain the exclusive property of the Buyer. HUNZAI VESTURE acknowledges that such materials are protected intellectual  property and shall be used solely for the purpose of manufacturing the Buyer's custom products.

The Company shall not reproduce, display, or distribute any of the Buyer's designs, logos, or brand elements for any other project, client, or marketing purpose without the Buyer's prior written consent. All proprietary manufacturing methods, patterns, templates, and production techniques developed or used by HUNZAI VESTURE remain the exclusive property of the Company and may not be shared or replicated without authorization.

Governing Law & Dispute Resolution:

These Terms and all transactions between HUNZAI VESTURE and the Buyer shall be governed and interpreted in accordance with the laws of the Islamic Republic of Pakistan.

In the event of any dispute, claim, or disagreement arising from these Terms or any related transaction, both parties shall first seek to resolve the matter through good faith negotiation and mutual discussion. If an amicable solution cannot be reached, the dispute shall be referred to arbitration in Pakistan, conducted in accordance with the applicable arbitration laws. The decision of the appointed arbitrator(s) shall be final and binding on both parties.

Legal action may only be pursued after all negotiation and arbitration options have been exhausted, and shall be subject exclusively to the jurisdiction of the courts in Pakistan.

Communication:

All official communication between HUNZAI VESTURE and the Buyer shall be conducted through email or written documentation only.

Verbal discussions, social media messages, or informal chats shall not be considered official unless confirmed in writing via the Company's registered email.

All order confirmations, design approvals, payment details, and other contractual matters must be exchanged and verified through the official contact details provided below:

Any communication sent or received outside these official channels shall not be recognized as valid or binding on HUNZAI VESTURE.

Acceptance:

By placing an order, making a payment, or entering into any agreement with HUNZAI VESTURE, the Buyer acknowledges that they have read, understood, and agreed to all the terms and conditions stated herein. These Terms & Conditions constitute a binding agreement between HUNZAI VESTURE and the Buyer, and shall govern all quotations, orders, productions, and transactions conducted between both parties.
